1. Scope of Agreement
These Terms and Conditions govern the use of our corporate portal, mldagrotech.com, and establish the default framework for B2B export and wholesale transactions executed by MLD Agrotech Private Limited (CIN: U10306WB2026PTC294710).
By browsing this website, submitting an inquiry, or signing a commercial supply contract with us, you agree to comply with these terms. If you are representing a company or buying house, you certify that you have the authority to bind that business entity.
2. B2B Wholesale Nature
MLD Agrotech operates exclusively as a wholesale bulk trader and direct agricultural exporter. We do not supply retail consumers or accept small-scale domestic retail orders.
All listed agricultural products (including turmeric fingers, white kachur, potatoes, red onions, phool makhana, rice, pulses, and seeds) are sold subject to Minimum Order Quantities (MOQ). Standard MOQs range from 15 to 20 Metric Tons (typically one 20ft or 40ft Full Container Load - FCL), depending on commodity type.
3. Quotations & Mandi Pricing
Agricultural commodity rates fluctuate daily based on weather patterns, harvest yields, mandi supply volumes, and global currency adjustments. Therefore:
- Pricing lists or catalogue figures displayed on our website or social media channels are purely indicative.
- Official commercial offers (FOB, CFR, or CIF quotes) are delivered only via official corporate email or WhatsApp in written format.
- All quotations have a strictly limited validity period (typically 48 to 72 hours) and are subject to confirmation at the time of final contract signing.
4. Payment Terms & Financial Instruments
Unless explicitly agreed otherwise in a bilateral signed contract, our standard B2B payment parameters require:
- Telegraphic Transfer (T/T): Typically 30% to 50% advance payment to lock sourcing and packing, with the remaining balance payable against scanned copies of the Bill of Lading (B/L) and shipping documents.
- Letter of Credit (L/C): 100% Irrevocable, Confirmed L/C at sight, issued or confirmed by a first-class prime international bank, with all banking charges outside India to the buyer’s account.
- Delayed Payments: Failure to settle balances within agreed timelines leads to container release delays. We are not responsible for demurrage or detention charges arising at destination ports due to payment clearance delays.
5. Cargo Inspection & Quality Standards
Quality consistency is critical for agricultural exports. We ensure:
- Pre-shipment inspections are conducted at the load port (e.g., Haldia, Kolkata, Mundra, Chennai) by independent testing organizations like SGS or other NABL-certified laboratories.
- The inspection report, Certificate of Origin, and Phytosanitary Certificate generated at the loading port constitute final proof of quantity, packaging weight, and quality parameters.
- Buyers are encouraged to nominate their preferred surveyor at the load port to observe bagging and container loading procedures.
6. Force Majeure & Limitation of Liability
MLD Agrotech shall not be held liable for any delays, non-performance, or cargo spoilage resulting from circumstances beyond our reasonable control (Force Majeure events). These include:
Acts of God, monsoon floods, extreme crop failures, labor strikes, transport blockades, export bans or changes in governmental agricultural trade policy, ocean container shortages, shipping lane disruptions, or customs clearance delays at discharge ports.
Our total cumulative liability under any circumstance, contract deviation, or shipment mismatch will not exceed the invoice value of the specific cargo shipment. We are not liable for any secondary business losses, loss of retail revenue, or indirect damages.
7. Intellectual Property Rights
All elements of this website, including text content, brand identity (MLD AGROTECH), custom product graphics, photographs of sorting warehouses, code, and stylesheets, are the intellectual property of MLD Agrotech Private Limited. Downloading, replicating, or using our images and content for competing trade directories, websites, or sales pitches without written permission is strictly prohibited.
8. Governing Law & Dispute Resolution
These Terms and Conditions, all business communications, and individual export supply contracts are interpreted and governed in accordance with the laws of the Republic of India.
Any legal action, claim, or dispute arising out of or in connection with our products, shipping commitments, or website content shall be submitted exclusively to the competent courts of Malda, West Bengal, India.
